MoA – Object Clauses

The following documentation has MoA-style “Objects Clauses” (Section 3(a) and 3(b) of the Companies Act 2013) for the incorporation of companies.

Each company has:

  • A Main Object paragraph (“To carry on the business of …”)
  • 3–5 Ancillary Objects supporting and expanding the scope.
  • Language fully compliant with MCA requirements, yet focused on OX Group’s agritech model.

🏢 OX Infy Private Limited (Standalone company)​

(Technology Development & Service Provider)

Note: This is a standalone company, not a part of the OX Agry. This company is already incorporated in the name of OX Softwares Private Limited. The name should be changed to OX Infy Private Limited.

Main Object: To carry on the business of designing, developing, and maintaining software applications, digital platforms, and technology infrastructure for all sectors, including but not limited to agriculture, finance, logistics, manufacturing, and services, and to provide technology, consulting, and digital transformation solutions to individuals, businesses, and institutions in India and abroad.

Ancillary Objects:

  1. To provide IT consulting, system integration, cloud computing, AI/ML, data-analytics, and cyber-security solutions.
  2. To develop, operate, and maintain mobile apps, APIs, websites, and automation tools for agricultural and commercial use.
  3. To license, sell, or customize software and digital products for third parties.
  4. To establish technology development centers, training labs, and R&D facilities for innovation and skill enhancement.
  5. To enter into partnerships or service contracts for software development, hosting, or technical support.

🌾 1. OX Agry Private Limited​

(Agri Holding & Governance Company)

Main Object: To carry on the business of investment holding and management of agricultural, technological, and allied ventures; to acquire, hold, and manage equity in subsidiary and associate companies engaged in agri-technology, trade, finance, and rural development.

Ancillary Objects:

  1. To provide strategic direction, governance, and capital allocation to its subsidiaries.
  2. To render management, coordination, and compliance services to group companies.
  3. To raise, invest, and deploy funds in agricultural and rural-sector enterprises.
  4. To engage in research, partnerships, and collaborations furthering sustainable agribusiness.
  5. To receive dividends, royalties, or management fees from subsidiary companies.

💻 2. OX Platform Private Limited​

(IP Ownership & Digital Marketplace Operator)

Main Object: To carry on the business of developing, owning, operating, and licensing digital platforms, applications, and intellectual property for agriculture and allied industries, providing a unified marketplace connecting farmers, service providers, and buyers.

Ancillary Objects:

  1. To own, protect, and manage all forms of intellectual property, including software, trademarks, patents, copyrights, and data generated through its digital platforms and associated networks.
  2. To grant platform access and licenses to individuals, companies, franchisees, government bodies, and other organizations under commercial or strategic arrangements.
  3. To provide hosting, analytics, and digital-marketing services supporting agricultural e-commerce.
  4. To collect, process, and analyze agricultural, financial, and operational data for business intelligence.
  5. To enter into strategic partnerships for technology integration, payment systems, and customer engagement.

🤝 3. OX Franchisor Private Limited​

(Franchise System & Brand Management Entity)

Main Object: To carry on the business of establishing, managing, and licensing franchise networks, trade names, and brand systems under the OX Group for agricultural, retail, and service operations.

Ancillary Objects:

  1. To formulate, document, and enforce franchise policies, operating manuals, and brand standards.
  2. To grant, renew, suspend, or terminate franchise rights and maintain franchisee compliance.
  3. To conduct training, certification, and support programs for franchisees and their staff.
  4. To collect franchise fees, royalties, and other considerations from franchise operators.
  5. To protect and manage intellectual property, trademarks, and brand assets associated with the OX Group.

🚜 4. OX Amagator Private Limited​

(Agricultural Machinery Aggregation Company)

Main Object: To carry on the business of aggregation, facilitation, and management of agricultural machinery and equipment rental services through digital platforms, connecting machinery owners, operators, and farmers for efficient farm mechanization.

Ancillary Objects:

  1. To provide machinery booking, leasing, hiring, and fleet management services including tractors, harvesters, drones, tillers, and related equipment.
  2. To develop and maintain machinery utilization networks, service quality standards, and partner performance systems.
  3. To conduct training programs for machinery operators and facilitate certified workforce supply.
  4. To collaborate with government agencies, financial institutions, and private entities for mechanization initiatives.
  5. To act as a service aggregator and facilitator for agriculture-related logistics, insurance, and maintenance support.

🚛 5. OX Fleet Private Limited​

(Machinery Ownership & Rental Operations Company)

Main Object: To carry on the business of owning, operating, renting, leasing, and maintaining agricultural machinery, vehicles, and implements for farm and rural infrastructure activities.

Ancillary Objects:

  1. To purchase, finance, and manage a fleet of tractors, harvesters, transport vehicles, and related machinery.
  2. To provide machinery operation, repair, maintenance, and spare parts services.
  3. To enter into hire-purchase, lease, and franchise arrangements for deploying company-owned machinery.
  4. To collaborate with financial institutions for machinery financing and insurance services.
  5. To train and employ skilled operators, technicians, and mechanics for machinery management.

🌾 6. OX Inputs Private Limited​

(Agri Inputs & Farm Supply Company)

Main Object: To carry on the business of trading, distributing, and retailing agricultural inputs including fertilizers, pesticides, seeds, feeds, and farm equipment through wholesale, and digital channels.

Ancillary Objects:

  1. To obtain and maintain statutory licenses for the sale of agricultural inputs.
  2. To procure, market, and distribute agri products through franchisees, agents, and online platforms.
  3. To establish warehouses, storage units, and logistic systems for agri input distribution.
  4. To provide crop advisory, soil testing, and agronomy consultation services.
  5. To engage in import, export, and processing of agricultural chemicals, organic, and biological inputs.

👷 7. OX Workforce Private Limited​

(Agricultural Labor & Manpower Services Company)

Main Object: To carry on the business of aggregating, training, and deploying skilled and unskilled labor for agricultural, industrial, and rural development activities.

Ancillary Objects:

  1. To operate digital platforms connecting employers with farmworkers, machinery operators, and technical staff.
  2. To conduct training, certification, and skill development programs for agricultural workforce enhancement.
  3. To provide labor contracting, wage management, and compliance services.
  4. To supply a workforce for seasonal, project-based, or mechanized agricultural operations.
  5. To collaborate with government skill missions and private institutions for employment generation.

⚙️ 8. OX Spares Private Limited​

(Agri & Machinery Spare Parts Distribution Company)

Main Object: To carry on the business of trading, importing, exporting, and distributing spare parts, accessories, and components for agricultural machinery, vehicles, and industrial equipment.

Ancillary Objects:

  1. To establish warehouses, and franchise networks for spare parts distribution.
  2. To enter into dealership, distributorship, and authorized service partnerships with manufacturers.
  3. To provide after-sales support, technical assistance, and maintenance services.
  4. To develop and sell digital catalogues, e-commerce listings, and inventory management systems.
  5. To engage in packaging, branding, and quality assurance for distributed components.

(Agri Produce Trade & Market Linkage Company)

Main Object: To carry on the business of trading, aggregation, and marketing of agricultural produce, commodities, and processed products, providing transparent market linkage between farmers, traders, and institutional buyers.

Ancillary Objects:

  1. To establish procurement networks, quality grading centers, and digital trade platforms for farm produce.
  2. To engage in wholesale, retail, import, export, and commission-based trading of agricultural goods.
  3. To set up logistics, warehousing, cold storage, and quality control facilities.
  4. To collaborate with exporters, processors, and cooperatives for value-added trade.
  5. To provide data-driven pricing, supply chain analytics, and farmer settlement systems.

💰 10. OX Finance Private Limited​

(Agri Finance, Credit & Insurance Facilitation Company)

Main Object: To carry on the business of providing microfinance, agricultural loans, machinery finance, and insurance facilitation services to farmers, franchisees, and rural entrepreneurs either independently or in partnership with financial institutions.

Ancillary Objects:

  1. To act as a business correspondent or service partner for banks and NBFCs.
  2. To offer credit scoring, risk management, and digital payment services for the agricultural sector.
  3. To distribute insurance products including crop, machinery, and weather-based insurance.
  4. To manage digital wallets, settlements, and inter-company financial transactions under RBI-compliant structures.
  5. To raise, invest, and lend funds aligned with agricultural financing goals.
