📋 5-Step Process​

Step 1: Board Meeting (Day 0)​

Step 2: Shareholder Meeting - EGM (Day 21+)​

🎓 Key Concepts Explained​

What is Valuation Cap with Discount?​

You get the BETTER of two options:

Option A: Valuation Cap (₹100 Cr)

  • Conversion Price = ₹100 Cr / 1,00,000 = ₹10,000 per equity share
  • Your ₹1L investment → 10 equity shares (before multiplier)

Option B: 30% Discount

  • If future round values company at ₹200 Cr:
  • Discounted valuation = ₹200 Cr × 70% = ₹140 Cr
  • Conversion Price = ₹140 Cr / 1,00,000 = ₹14,000
  • Your ₹1L → 7.14 shares

You get whichever gives MORE shares (Option A in this example)

What is Conversion Multiplier?​

Early investor bonus:

  • Tranche 1 (first ₹50L invested): Get 1.5x shares
  • Tranche 2 (next ₹50L): Get 1.33x shares
  • Tranche 3 (final ₹1Cr): Get 1.25x shares

Example:

  • You invest ₹1L in Tranche 1
  • Cap applies → 10 shares
  • Multiplier 1.5x → 15 shares
