OX Master Franchisee Framework

Overview

Master Franchisees hold exclusive territorial rights to operate and scale the OX Cluster at the taluk level. The Master is the primary local custodian of the OX brand, responsible for cluster governance, enabling Sub-franchisees and Node Partners, and driving farmer adoption and commercial growth. Masters are not day-to-day operators of Sub-franchise services (Inputs, Spares, Workshop, etc.) unless separately contracted.


  • Legal entity: OX [Location] Cluster Pvt Ltd (Master Franchisee) — incorporated as a Private Limited company.
  • Territory: Defined taluk boundary (may include service radii for Park, Nodes, Booking Centers, Outposts), documented in the Master Franchise Agreement.
  • Primary assets: OX Park facilities (admin, training, warehousing) — may be owned or leased by the Master or Node Partners under separate arrangements.

Core Roles & Responsibilities

Governance & Compliance

  • Enforce OX SOPs, brand standards and statutory compliance across the Cluster.
  • Conduct monthly spot-checks and submit formal quarterly compliance reports to OX Franchisor.
  • Maintain insurance, safety checks, and statutory records for OX Park operations.

Sub-franchisee Lifecycle Management

  • Screen & nominate Sub-franchisee candidates using platform intake forms.
  • Provide pre-onboarding training and operational readiness checks.
  • Execute Master ↔ Sub agreements only after Franchisor approval (Franchisor retains final approval rights).
  • Provide first-level support and periodic operational coaching to Subs.

Node Partner & Infrastructure Coordination

  • Identify and propose Node Partners to Franchisor; coordinate site readiness of Nodes.
  • Plan inventory placement (dark stores) and logistics across Nodes, Booking Centers and Outposts.
  • Define hub-to-node replenishment cycles in coordination with OX Inputs/OX Spares and Platform teams.

Commercial & Ecosystem Growth

  • Drive farmer acquisition & local marketing (demonstrations, fairs, tie-ups with FPOs/co-ops).
  • Manage commercial relationships with local banks, transporters, and service vendors.
  • Optimize cluster-level margin levers (rental income from facilities, training fees, territory overrides).

Reporting, Escalation & Dispute Management

  • Maintain a territory dashboard and weekly operational reports.
  • Act as first-line dispute resolver between Subs and customers or between Subs and Node Partners.
  • Escalate unresolved disputes to Franchisor per defined SLA.

Authority & Limits

  • Exclusive territorial brand rights for the defined Cluster.
  • Supervisory authority over Sub operational compliance and Node coordination.
  • Cannot finalize Sub/Node onboarding, suspension or termination without Franchisor approval.
  • May propose local promotions, pricing experiments and campaigns only within Franchisor-approved guardrails.

Revenue & Commercial Model

  • One-time Master Franchise Fee: Typically payable at signing (defined in agreement).
  • Territory Override Commission: Percentage of gross revenues generated within the Cluster (split rules defined in Platform schedules).
  • Facility & Rental Income: For space leased to Sub-franchisees or Node Partners at OX Park/Node.
  • Ancillary Fees: Training & support fees, event/activation revenue, pilot program incentives.
  • Incentives & Penalties: Performance-linked bonuses for exceeding KPIs and penalties for non-compliance as per contract.

Governance Processes & SLAs

Onboarding Flow (high-level)

  1. Master submits Master franchise application (business plan, capex, pro-forma) to Franchisor.
  2. Franchisor performs due diligence and grants conditional approval.
  3. Master incorporates OX [Location] Cluster Pvt Ltd and signs Master Franchise Agreement.
  4. Master begins Sub nomination & onboarding (each Sub activation requires Franchisor final approval via the Platform).

Decision SLA: Franchisor action on Sub proposals within agreed SLA (default 7 business days).

Supervision & Audit

  • Monthly operational self-audits by Master; quarterly Franchisor audits.
  • Emergency suspension power for critical breaches (Master may temporarily suspend a Sub and must notify Franchisor within 24 hours — continued suspension requires Franchisor confirmation within 72 hours).

Settlements & Finance

  • All customer payments flow through OX Platform — Master receives overrides and other dues via Platform settlement schedule (T+1/T+2 or as defined).
  • Masters must reconcile daily/weekly settlement reports and resolve mismatches within SLA.

KPIs & Performance Metrics

Commercial

  • Territory GMV (monthly / quarterly / YoY growth)
  • Territory Override collected vs target

Operational

  • % Subs audited & compliant
  • Average time-to-approve Sub nominations (Franchisor SLA adherence)
  • Average time-to-resolve escalations
  • Dark Store fill rate & stockout frequency at Booking Centers/Nodes

Farmer Outcome

  • Farmer NPS (cluster-level)
  • First-time-fix rate for machinery services

Procurement & Inventory Policy

  • Subs should procure mandatory SKUs from OX Inputs / OX Spares per procurement policy (platform POs preferred).
  • Masters must perform periodic checks to ensure Subs follow approved vendor lists and correct invoicing.
  • Consignment stock or Master-hosted inventory must be covered by separate commercial agreement (ownership, insurance, replenishment cadence clearly defined).

Risk, Exit & Termination

  • Voluntary exit: 6 months' notice (or alternative notice in agreement) to allow orderly transition.
  • Termination for cause: Material breach, fraud, insolvency, repeated non-compliance.
  • Remediation: Masters will be given a remedial notice period (defined in Agreement) before permanent revocation, except in cases of severe breach where immediate termination may apply.
  • Handover obligations: Inventory, records, platform accounts and local contracts must be transferred per handover checklist in Schedule X.

Pre-launch

  • Legal incorporation and KYC
  • Site readiness for OX Park (utilities, security, storage)
  • Platform integration (role access, settlement banking, reporting)
  • Node Partner shortlisting & facility agreements

Launch

  • Sub nominations & initial onboarding (pilot group)
  • Training programs for Subs & Node staff
  • Local farmer outreach and pilot activations

Post-launch (first 90 days)

  • Weekly operational reviews
  • Inventory & replenishment tuning for dark stores
  • Settlement reconciliation & dispute resolution tests

Sample Master Agreement Clauses (short)

Franchisor Approval of Subs. “Master shall nominate Sub-franchisee candidates via the Platform. No Sub shall be onboarded until the Franchisor has provided written approval. Franchisor shall respond within seven (7) business days, or within the extended SLA mutually agreed.”

Emergency Suspension. “Master may provisionally suspend a Sub for critical non-compliance and must notify Franchisor immediately. Continued suspension beyond seventy-two (72) hours requires Franchisor confirmation.”
